These Terms of Service (“Terms”) govern access to and use of the EasyCustoms360 platforms and domains (together, the “Platform”) and all related products and services (consulting by competent/qualified experts, content, training, credit-based features, and other functionality, collectively the “Services”) provided by Consphera Teknoloji ve Yönetim Danışmanlığı Ltd. Şti. (“Consphera,” “we,” “our,” or “us”). By visiting or using the Platform/Services, you (“User,” “you,” or “customer”) agree to these Terms.

These Terms are intended for B2C and B2B use. Mandatory consumer protection rules in your country/region prevail over any conflicting provision herein.

1) Definitions

Tenant: A logical, segregated space set up for each customer/organization in our multi-tenant architecture.
Credits: Numeric usage units consumed by certain features or actions.
Expert Answer: The final response/report prepared and reviewed exclusively by competent/qualified human experts.
Pricing Engine: Automation and/or AI components used only for pricing/score estimation. It does not generate consulting answers or drafts.
Third Parties: Payment processors, infrastructure, identity, analytics, hosting, and similar providers.

2) Agreement & Scope

2.1. Creating an account, accessing the Platform, or using the Services constitutes acceptance of these Terms.
2.2. These Terms are concluded electronically; electronic notices are valid and enforceable.

3) Accounts, Tenants, and Access

3.1. Each customer may have a distinct tenant. Tenant admins manage invitations, roles, and permissions.
3.2. You are responsible for safeguarding your credentials and for activities under your account. Notify us promptly of any unauthorized use.

4) Nature of Services — Expert-Only Answers (No AI content generation)

4.1. All consulting answers are prepared and approved only by competent/qualified human experts.
4.2. The Pricing Engine is used solely for pricing/score estimation; it does not produce legal/technical content or drafts.
4.3. Customs, trade, and tax laws change frequently. All answers are for informational purposes only and are not definitive or binding opinions.
4.4. You must verify matters directly with the relevant public authorities before making decisions or filings.
4.5. You are solely responsible for the accuracy/completeness of information and documents you provide for any official process.

5) Additional Provisions on the Legal Nature of the Service

5.1. (Disclaimer – Not a Legal Service)
The services provided by EasyCustoms360 do not constitute legal services within the meaning of the Attorneyship Law. The information, assessments and guidance provided through the Platform do not create legal consultancy, an attorney-client relationship or any authority of representation. The user acknowledges that such information shall not be interpreted as legal advice.

5.2. (Right to Refuse Answer & Refund Condition)
EasyCustoms360 reserves the right to refuse to answer any question without providing a reason. In the event of such refusal, the payment made by the user will be refunded. The user accepts that no compensation, claim or demand of any kind may be made against EasyCustoms360, and that EasyCustoms360 shall bear no liability in this regard.

6) Acceptable Use

You may not use the Platform/Services to:
a) Violate laws, mislead, or infringe third-party rights;
b) Process or share personal data unlawfully;
c) Share accounts, impersonate, or manipulate access via multiple accounts;
d) Probe, scan, reverse engineer, or stress-test the Platform without authorization;
e) Promote illegal products/services;
f) Bypass or abuse the credit/pricing model.
We may suspend or terminate accounts for violations.

7) Pricing, Credits, and Payments

7.1. Credits. Certain features consume credits.
7.2. Pricing. Prices are determined by our internal policies and automations; specific criteria are not disclosed.
7.3. Taxes. Prices shown at checkout will include or add applicable taxes as required by law and by your billing location.
7.4. Instant Charge. Payments are processed immediately via authorized third-party providers.
7.5. Refunds. Due to the digital nature of the Services, used credits are non-refundable. In case of an erroneous charge, we may provide a pro-rata refund or credit.

7) Content Ecosystem (Blog, News, User Content)

8.1. Blog/News content is general information only; we do not guarantee accuracy, completeness, or timeliness.
8.2. You are solely responsible for the legality of any content you upload.
8.3. By uploading content, you grant us a worldwide, non-exclusive, royalty-free license to host, display, and use it within the Platform.

9) Intellectual Property

9.1. The Platform, software, designs, data models, training materials, and brands are owned by Consphera or its licensors.
9.2. Reverse engineering, reproduction, resale, or sublicensing is prohibited.
9.3. Feedback or suggestions are licensed to us on a free, transferable, non-exclusive basis.

10) Data Protection & Security

10.1. Our Privacy Notice and Cookie Policy form part of these Terms.
10.2. Depending on context, Consphera may act as a data controller and/or processor. Sub-processors (hosting, storage, analytics, payments) may be used.
10.3. We implement reasonable administrative and technical safeguards, but no system is perfectly secure.
10.4. You remain responsible for any highly sensitive, case-specific information you share or handle outside the Platform.

11) Third-Party Services

11.1. Payments, identity, storage, analytics, and certain features are provided by third parties under their own terms.
11.2. We accept no responsibility for any direct or indirect losses arising from third-party changes, outages, or actions.

12) Service Level, Maintenance, and Changes

12.1. The Platform is provided “as is” and “as available” with no guarantee of uninterrupted service.
12.2. We may maintain, upgrade, add, or remove features. Material changes will be reasonably notified.

13) Disclaimers & Comprehensive Limitation of Liability

13.1. All information and Expert Answers are informational only and not definitive/binding opinions.
13.2. You are solely responsible for any and all actions, filings, statements, calculations, or decisions made based on the Platform/Services. You will verify directly with public authorities as needed.
13.3. To the maximum extent permitted by law, we accept no liability of any kind—including direct, indirect, special, incidental, consequential, punitive, or loss of profit, reputation, or data—arising from or related to the Platform/Services, your reliance on any information, third-party services, network/communication issues, user error, or incomplete/inaccurate information/documents you provide.
13.4. No limitation, cap, carve-out, or exception shall be construed in your favor beyond what mandatory law imposes.
Consumer notice: Any non-waivable rights under mandatory consumer law remain unaffected.

14) Term, Suspension, and Termination

14.1. These Terms take effect upon acceptance.
14.2. We may suspend or terminate your account for AUP violations, legal non-compliance, or security risks.
14.3. Data may be retained for a reasonable period as required by law.

15) Changes to the Terms

15.1. We may update these Terms; the Effective Date will be revised and reasonable notice provided.
15.2. Continued use of the Platform after changes constitutes acceptance.

16) Governing Law & Jurisdiction

16.1. These Terms are governed by the laws of Türkiye (without regard to conflict-of-laws rules).
16.2. Courts of İstanbul (Central) shall have jurisdiction, unless mandatory consumer jurisdiction rules in your country/region require otherwise.

17) Notices & Contact

17.1. Contractual notices may be delivered via in-Platform notifications or to your registered email address.

18) Severability & Assignment

18.1. If any provision is found invalid or unenforceable, the remaining provisions remain in force.
18.2. You may not assign these Terms without our consent. We may assign in connection with a business transfer or reorganization.

19) Order of Precedence & Policies

19.1. These Terms apply together with our Privacy Notice, Cookie Policy, and any applicable order/offer/plan.
19.2. In case of conflict: any specific written agreement (order/proposal) → these Terms → policies.

Acknowledgment

By using the Platform/Services, you acknowledge that you have read, understood, and agreed to these Terms.
